About the Role
The Paralegal (or "PL") will provide legal assistance to the firm's Attorneys in connection with client engagements and will provide practice and project based support to the team. The PL will work directly with Partners, Associates and Articled Clerks on a daily basis, under supervision of the Group Partner or Assigned Partner. The PL will serve as a key support resource within the team in relation to legal drafting and will assist Attorneys with efficient and effective transaction management and data maintenance. Depending on the PL's level of experience, the PL may also be expected to help with training and development of more junior team members.
Primary responsibilities are to:
- Assist in the day-to-day management and administration of a high volume of work instructions from Attorneys relating to ongoing client engagements
- Prepare all forms of corporate and partnership documents, including but not limited to memoranda and articles of association, LLC agreements, partnership agreements, board and shareholder resolutions and statutory registers
- Draft documentation in connection with the establishment and maintenance of a variety of different transactional structures involving special purpose vehicles, including the drafting of declarations of trust, administration agreements and other services arrangements
- Prepare initial draft Cayman Islands documents and deliverables for a wide range of transactions across all sub-practice areas (including Fund Finance, CLOs, Asset Finance, Cayman Islands Stock Exchange debt listings and Repackagings) under the supervision and instruction of Attorneys within the team, which would include loan agreements, security agreements, closing certificates, resolutions and other ancillary documents
- Prepare initial draft opinion letters and assist with processing of comments, in each case in accordance with the firm's opinions manual requirements and in consultation with Partners and other senior team members
- Attend meetings in order to take notes and prepare attendance notes of such meetings
- Carry out legal research and investigation on various points of local and international law or legal and regulatory developments
- Undertake "first-cuts" of transaction documents and assist with the subsequent processing of comments / feedback and, where required, help with their finalisation and coordination of execution and closing mechanics
- Take responsibility for the formulation of document lists and assist in all aspects of document preparation and delivery
- Identify opportunities for drafting enhancements and transactional efficiencies, including assisting with integration of precedents into documentation automation software programs such as Contract Express
- Closely monitor and update deal transaction logs; prepare deal statistics and report summaries on particular transactions and/or aspects thereof. This may include detailed monthly, quarterly, bi-annual and annual reports on the group's performance. EXPERIENCE
What You Bring
In addition to indisputably high ethical standards, the ideal candidate possesses the following:
- A recognised legal or paralegal qualification and have at least 5 years prior paralegal experience, ideally gained through working within a law firm
- A broad and detailed legal understanding across all sub-practice areas and deal structures
- Proficiency Word, Excel, and PowerPoint and other related programs
- Strong communication skills and teamwork
- Highly organised
- Ability to work under pressure while remaining detail oriented and accurate
- Familiarity with law firm systems, policies and procedures
- Experience of documentation automation software is desirable
